This Agreement is entered into between RCJ Mobile Mechanics Limited ("RSMECHS" or "Company") and you, the registered Mechanic ("Contractor"), upon approval of your application to the RSMECHS platform. By activating your Mechanic account, you agree to be legally bound by this Agreement.

Contractor: The individual or business entity registered as a Mechanic on the RSMECHS platform ("Contractor", "you", "Mechanic").
Recitals:
The Contractor is an independent contractor. This Agreement does not create an employment relationship, partnership, joint venture, agency, or franchise between the Contractor and RSMECHS.
The Contractor acknowledges and agrees that:
As an independent contractor, the Contractor is not entitled to and will not receive:
Any guidelines, standards, or requirements communicated by RSMECHS through the Platform (such as response time targets, quality standards, or conduct requirements) are for the purpose of maintaining platform quality and protecting users — not for the purpose of controlling the Contractor's work methods. Compliance with platform standards is a condition of platform access, not of employment.
The Contractor agrees to provide automotive repair and maintenance services ("Services") to customers booked through the RSMECHS platform, including but not limited to the service categories listed on their profile.
The Contractor agrees to perform all Services:
The Contractor is solely responsible for providing and maintaining all tools, equipment, parts, and materials necessary to perform the Services. RSMECHS does not provide tools or materials of any kind.
The Contractor may not subcontract or delegate Services to another person without prior written consent from RSMECHS. The Contractor remains responsible for all work performed under their account regardless of who performs it.
The Contractor is responsible for maintaining the security of their account credentials. The Contractor must not share account access with any other person.
The Contractor must ensure their profile information is accurate, current, and not misleading at all times. This includes qualifications, certifications, service area, rates, and availability.
The Contractor must not:
RSMECHS reserves the right to conduct background checks on Contractors at any time, with the Contractor's consent. The Contractor agrees to cooperate with any verification requests, including providing additional documentation of qualifications, identity, or criminal history.
The Contractor sets their own rates for Services, subject to any minimum or maximum guidelines published by RSMECHS from time to time. Rates must be transparently communicated to customers through the Platform.
RSMECHS charges a commission on each completed booking as follows:

Commission is deducted automatically before payout. Parts costs are not subject to commission. The Contractor agrees that commission rates may be adjusted with 30 days' written notice.
Earnings are paid out on a weekly basis, typically processed every Monday for the previous week's completed bookings. Payouts are made to the bank account or payment method registered on the Contractor's account via Stripe.
RSMECHS reserves the right to withhold payouts in the following circumstances:
Withheld amounts will be released within 30 days of resolution, less any amounts determined to be owed to RSMECHS or a customer.
Monthly subscription fees (Pro and Elite) are charged at the start of each billing cycle and are non-refundable once the billing period has commenced. The Contractor may downgrade their plan at any time, effective at the next billing cycle.
Important: As an independent contractor, you are solely responsible for all taxes on your income earned through the Platform.
The Contractor acknowledges and agrees that:
Where required by applicable law, RSMECHS may report contractor earnings to relevant tax authorities.
The Contractor is strongly recommended and, where required by local law, obligated to maintain the following insurance coverage throughout the duration of this Agreement:

RSMECHS does not provide any insurance coverage for Contractors or their work. Any liability arising from Services performed is solely the Contractor's responsibility. RSMECHS's liability is limited as set out in the Platform's Terms of Service.
RSMECHS reserves the right to request proof of insurance at any time. Failure to maintain required insurance may result in suspension from the Platform.
During and after this Agreement, the Contractor agrees to keep confidential and not disclose to any third party:
Customer data accessed through the Platform may only be used for the purpose of providing the booked Services. The Contractor must not:
The Contractor agrees to comply with all applicable data protection laws in their jurisdiction with respect to customer data.
All intellectual property rights in the Platform, including software, branding, trademarks, and content, remain the exclusive property of RSMECHS. The Contractor is granted a limited, non-exclusive, non-transferable licence to use the Platform solely for the purpose of providing Services under this Agreement.
By uploading content to the Platform (including profile photos, certifications, and reviews), the Contractor grants RSMECHS a worldwide, royalty-free, perpetual licence to use, display, and distribute that content in connection with the Platform and marketing materials.
The Contractor retains all rights to the physical Services performed. Nothing in this Agreement transfers ownership of any vehicle repairs or physical work product to RSMECHS.
During the term of this Agreement and for 12 months after termination, the Contractor agrees not to directly solicit customers they first connected with through the RSMECHS Platform to conduct transactions outside the Platform.
During the term of this Agreement and for 6 months after termination, the Contractor agrees not to directly solicit RSMECHS employees or other contractors to leave RSMECHS.
The Contractor is free to work on competing platforms. However, the Contractor must not use confidential RSMECHS information or customer data to benefit any competing platform.
The Contractor represents and warrants to RSMECHS that:
The Contractor accepts full responsibility and liability for:
The Contractor agrees to indemnify, defend, and hold harmless RSMECHS, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
RSMECHS's total liability to the Contractor under or in connection with this Agreement shall not exceed the total platform commissions paid by the Contractor in the 3 months preceding the claim. RSMECHS is not liable for loss of earnings, loss of business opportunity, or any indirect or consequential losses.
The Contractor may terminate this Agreement at any time by providing 7 days' written notice to RSMECHS at legal@rsmechs.com and closing their account. Outstanding earnings will be paid within 30 days of termination, less any deductions owed.
RSMECHS may terminate this Agreement immediately and without notice if the Contractor:
RSMECHS may also terminate this Agreement with 30 days' written notice for any other reason, including business decisions to cease operations in a particular market.
Upon termination:
The parties agree to first attempt to resolve any dispute informally. The Contractor should contact RSMECHS at disputes@rsmechs.com. RSMECHS will respond within 10 business days and attempt to reach a mutually acceptable resolution.
If informal resolution fails within 30 days, either party may request mediation through a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed.
If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognised arbitration body. The arbitrator's decision shall be final and binding. Each party bears their own legal costs unless the arbitrator determines otherwise.
Either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, without first going through the dispute resolution process above.
This Agreement shall be governed by and construed in accordance with applicable law. The specific governing law applicable to each Contractor will be determined by their country of residence and operation, subject to mandatory local employment and contractor classification laws which cannot be excluded by contract.

Contractor Classification Warning: Laws regarding the classification of workers as employees vs. independent contractors vary significantly by jurisdiction and are subject to change. RSMECHS recommends that Contractors seek local legal advice regarding their classification and obligations. In jurisdictions where the Contractor would legally be classified as a worker or employee regardless of this Agreement, mandatory statutory rights will apply.
This Agreement, together with the RSMECHS Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements, understandings, and representations.
RSMECHS may amend this Agreement with 30 days' written notice to the Contractor. The Contractor's continued use of the Platform after the effective date of amendments constitutes acceptance. If the Contractor does not agree to amendments, they may terminate this Agreement by providing notice before the effective date.
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
The Contractor may not assign or transfer their rights or obligations under this Agreement without RSMECHS's prior written consent. RSMECHS may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
Notices under this Agreement shall be sent by email to the addresses registered on each party's account. Notices are deemed received when sent to the correct email address.
Neither party shall be liable for failure to perform obligations under this Agreement where such failure results from circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, or telecommunications failures.
This Agreement is accepted electronically when the Contractor activates their RSMECHS Mechanic account. Electronic acceptance has the same legal effect as a handwritten signature. The date of acceptance is recorded in the RSMECHS platform database.
